These Terms of Service (“Terms”) govern your use of the Sherpas: Smart SEO application (“the App”), operated by Seven Spikes Ltd. (“we,” “us,” or “our”). By installing or using the App on your Shopify store, you agree to be bound by these Terms. If you do not agree, please uninstall the App.

1. Description of the Service

Smart SEO is a Shopify application that provides automated search engine optimization tools, including:

  • Generation and management of SEO meta titles, meta descriptions, and alt text.
  • Structured data (JSON-LD) generation for products, collections, pages, and blog posts.
  • Broken link detection and resolution.
  • Keyword research and search volume data (powered by the Google Ads API).
  • Search performance tracking via Google Search Console integration.
  • AI-powered SEO content generation.
  • On-page SEO audits and backlink analysis.

2. Account and Eligibility

  • You must have an active Shopify store to use the App.
  • You are responsible for maintaining the security of your Shopify account credentials.
  • You must be at least 18 years old or the age of legal majority in your jurisdiction to use the App.
  • You represent that the information you provide to us is accurate and complete.

3. Subscription and Billing

  • The App offers both free and paid subscription plans. Paid features and usage limits are described on our Shopify App Store listing.
  • All billing is processed through the Shopify billing system. By approving a charge, you authorize Shopify to bill you according to the selected plan.
  • Subscription fees are non-refundable except as required by applicable law or at our sole discretion.
  • We reserve the right to change pricing with reasonable notice. Continued use of the App after a pricing change constitutes acceptance of the new pricing.

4. Your Content and Data

  • You retain ownership of all content and data on your Shopify store.
  • By using the App, you grant us a limited, non-exclusive license to access and modify your store data (product descriptions, meta tags, alt text, theme files, structured data) solely to provide the Service.
  • You are responsible for reviewing and approving any SEO content generated by the App before it goes live on your store, including AI-generated content.
  • We are not responsible for any changes the App makes to your store content at your direction or as part of automated SEO features you have enabled.

5. Google API Services

Certain features of the App rely on Google API Services:

  • Google Ads API: Used exclusively for keyword research. We retrieve aggregated keyword search volume and competition data. We do not access, create, modify, or manage any Google Ads campaigns or advertising data on your behalf.
  • Google Search Console API: If you choose to connect your Google Search Console account, we access search analytics data (impressions, clicks, rankings) for your verified sites. You may disconnect at any time from within the App.

Your use of features that rely on Google API Services is also subject to the Google Terms of Service. Our use of data received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.

6. AI-Generated Content

  • The App uses third-party AI language models to generate SEO content such as meta titles, meta descriptions, alt text, and structured data.
  • AI-generated content is provided on an “as-is” basis. While we strive for high quality, we do not guarantee that AI-generated content will be accurate, complete, or suitable for your specific needs.
  • You are solely responsible for reviewing, editing, and approving all AI-generated content before publication.
  • Product and page data (titles, descriptions, image URLs) may be sent to AI service providers for content generation. This data is not stored by the AI providers beyond the duration of the request.

7. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose or in violation of any applicable laws or regulations.
  • Attempt to reverse-engineer, decompile, or disassemble the App.
  • Interfere with or disrupt the App’s infrastructure or other users’ use of the Service.
  • Use the App to generate spam, misleading content, or content that violates search engine guidelines.
  • Exceed the usage limits of your subscription plan through automated or programmatic means.
  • Resell, sublicense, or redistribute the App or any data obtained through it.

8. Intellectual Property

  • The App, including its code, design, features, and documentation, is the intellectual property of Seven Spikes Ltd. and is protected by applicable copyright and intellectual property laws.
  • These Terms do not grant you any rights to our trademarks, logos, or brand assets.
  • SEO content generated by the App for your store becomes your property upon generation. However, the underlying algorithms, models, and systems used to generate that content remain our intellectual property.

9. Disclaimer of Warranties

The App is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • Any guarantee that the App will improve your search engine rankings or traffic.
  • Any guarantee that the App will be uninterrupted, error-free, or secure.
  • The accuracy or completeness of keyword data, search volume estimates, or any third-party data displayed in the App.

10. Limitation of Liability

To the maximum extent permitted by law, Seven Spikes Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, including but not limited to:

  • Loss of revenue, traffic, or search rankings.
  • Data loss or corruption resulting from use of the App.
  • Unintended changes to your store’s content, theme, or metadata.
  • Interruption of the Service or third-party API outages (Google, Shopify, etc.).

Our total liability for any claim arising from these Terms or your use of the App shall not exceed the amount you paid to us for the App in the twelve (12) months preceding the claim.

11. Termination

  • You may terminate these Terms at any time by uninstalling the App from your Shopify store.
  • We may suspend or terminate your access to the App if you violate these Terms, with or without notice.
  • Upon termination, your right to use the App ceases immediately. Sections 8, 9, 10, and 12 survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Bulgaria, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the competent courts of Sofia, Bulgaria.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the “Last updated” date at the top of this page. Continued use of the App after changes constitutes acceptance of the updated Terms.
